- Goldman Sachs and Apollo are approaching investors before formal syndication of the financing.
- The structure combines a senior secured loan with bond tranches and shifts equipment residual-value risk to investors.
- The financing is intended to support delivery of Nvidia Rubin chips and related equipment in the first half of 2027.
Goldman Sachs is linked to a reported effort to place parts of SpaceX's planned chip financing with institutional investors. Bloomberg reported on November 4 that Goldman Sachs and Apollo Global Management had begun approaching potential buyers ahead of the formal syndication process.
The reported financing is structured in several tranches. Goldman Sachs led an $8.3 billion senior secured loan intended for banks, while Apollo was identified as the key investor in bond tranches aimed at asset managers. Investors were in some cases being asked to consider commitments of up to $500 million before wider syndication starts.
Financing structure raises risk questions
According to Bloomberg, an Apollo-backed special-purpose vehicle would buy Nvidia chips and related equipment and lease them to SpaceX. The arrangement is designed to keep the debt off SpaceX's balance sheet.
The financing package, together with a $7 billion lease prepayment, would fund about $47.3 billion of equipment. The chips are expected to be delivered in the first half of 2027 under a lease running for about five years. SpaceX would remain responsible for rent even if the equipment is damaged or affected by force majeure, while investors would bear the risk that the chips lose value.
