- Luigi La Corte will leave the CFO role after a transition period, with succession details still to come.
- Shareholders will vote on two proposed directors and board-size changes at the December 3 extraordinary meeting.
- Management says the proposals are intended to strengthen governance while Galderma executes its integrated dermatology strategy.
Galderma Group AG announced on Monday, November 2, that Chief Financial Officer Luigi La Corte will leave the company to pursue what it called a significant new opportunity. The announcement came alongside plans for an extraordinary general meeting that will put several governance changes to shareholders.
According to the Galderma announcement, La Corte will remain in the CFO role during the transition to support business continuity and an orderly handover. The company said it will provide further details on succession arrangements and the timetable in due course.
Board Vote Set For December
Galderma is proposing Rosalind Brewer and Petra Rumpf as new board members. The company described both candidates as bringing leadership and governance experience across consumer-facing businesses, healthcare, medtech and life sciences.
The proposals also respond to the planned departure of Sherilyn McCoy, who is stepping down after seven years on the board because of conflicting obligations. Galderma wants to raise the board's maximum size from 10 to 11 members and elect Brewer and Rumpf until the next Annual General Meeting. Brewer is also proposed for an individual seat on the Compensation Committee.
The extraordinary general meeting will take place virtually on Thursday, December 3, 2026, at 14:00 CET. The vote gives investors a defined near-term governance event, while the CFO succession remains an open execution issue for the company.
Management Emphasizes Continuity
Chief Executive Officer Flemming Ornskov said the company remains focused on executing its integrated dermatology strategy and delivering against its priorities. He also pointed to Galderma's recent inclusion in the Swiss Market Index and said the proposed directors would add expertise and perspectives for the group's next growth phase.
Galderma operates across Injectable Aesthetics, Dermatological Skincare and Therapeutic Dermatology. The board changes therefore arrive as the company seeks to maintain operating momentum while managing a senior finance transition and preparing for the shareholder vote.
