Poland Tender Sets Next Milestone

  • Erste Group plans to raise its stake in Erste Bank Polska above 50% while preserving at least 25% free float.
  • The bank expects net interest income excluding Poland to grow by more than 6% in 2026.
  • Settlement is expected in December, subject to sufficient shareholder participation and regulatory conditions.

Erste Group will launch its voluntary tender offer for shares in Erste Bank Polska on Monday, November 2, after receiving regulatory approval, the bank said in a October 30 press release. The subscription period is scheduled to start on Tuesday, November 3.

The offer is intended to lift Erste Group's current stake from 49% to more than 50%, while keeping ownership below 75%. That would preserve a free float of at least 25%, consistent with the Austrian bank's commitment to Poland's financial supervisor when it acquired the initial stake in January.

Loan Growth Supports Higher Outlook

Erste Group raised its full-year lending target to more than 290 billion euros including Erste Bank Polska, compared with previous guidance of approximately 290 billion euros. Customer loans including the Polish business reached 287.4 billion euros at the end of September, up 23.9% from December 2025. The Polish portfolio contributed 41.9 billion euros.

The group also lifted its outlook for net interest income excluding Erste Bank Polska to growth of more than 6%, from about 5% previously. Fee and commission income excluding Poland is now expected to rise by around 10%, compared with an earlier range of 7% to 9%. The cost-to-income ratio excluding Poland is projected below 46%, versus prior guidance below 47%.

Including Poland, net profit for the first nine months rose 20.6% year over year to 3.1 billion euros. Excluding the Polish bank, net profit increased 7.9%. Erste Group reported a pro forma CET1 ratio of 15.0% at the end of the third quarter, giving management room to fund the tender from internal resources while expecting the ratio to remain above 14.25% after completion.

Offer Terms Shape Poland Exposure

The offer price is expected to be about PLN 713 per share. The subscription period should remain open for 30 days and may be extended under applicable rules. Completion depends on receiving enough tenders to move above the 50% threshold while staying below 75%. Settlement is anticipated in December 2026.

For investors, the transaction could give Erste Group greater control over its Polish operation, but the final ownership level will depend on shareholder participation. Management has not issued detailed 2027 guidance ahead of the tender outcome, leaving the offer response and the integration of the Polish business as important next steps.
