The transaction involved a non-proportional capital increase of EUR 1.56 billion. Ares subscribed EUR 1.08 billion and Eni subscribed EUR 0.48 billion. Following completion, Plenitude's share capital was held by Eni at 65.03 percent, Ares at 26.24 percent and Energy Infrastructure Partners at 8.73 percent, according to the Eni release.
The new governance framework gives Eni and Ares joint control over Plenitude, resulting in the company's deconsolidation from Eni's consolidated financial statements. Eni said it retains de jure control and will continue direction and coordination activities under the shareholders' agreements.
