- Delivery Hero expects an additional acceptance period for Uber's offer after the initial deadline.
- The Taiwan transaction with Grab ended after regulatory approval was denied, with a break fee due to Delivery Hero.
- Management said it still expects the Uber transaction to close in the second half of 2027.
Delivery Hero has given investors two new details on its pending takeover by Uber: a second acceptance period is expected after the initial deadline, and the failed Taiwan transaction with Grab will result in a break fee. Both points emerged after the company published its third-quarter update on October 28, 2026.
Uber Offer Moves To Next Phase
In its Q3 earnings call transcript, management said the initial acceptance period for Uber's voluntary public offer of 41.50 euros per share ends at midnight Central European Time on November 5. An additional period is expected to run from November 11 through November 24, subject to the transaction process.
The timetable gives shareholders another window to tender if the offer proceeds to that stage. Delivery Hero and Uber are expected to remain independent until closing, which management continues to place in the second half of 2027, subject to regulatory approvals.
Break Fee Follows Taiwan Setback
Delivery Hero said the Taiwan Fair Trade Commission's refusal to approve the planned sale of its foodpanda Taiwan business to Grab ended that transaction. Chief Executive Niklas Oestberg said on the call that Grab will pay the agreed break fee, while the amount remains confidential under a nondisclosure agreement.
The company had already said in its Q3 trading update that deal protections were in place. Management now expects the break fee to appear in the full-year 2026 results. The Taiwan business continues to operate, while Delivery Hero evaluates its next steps.
Growth Supports The Transaction Case
The third quarter brought more than one billion orders for the first time. Like-for-like revenue rose 22.0 percent to 4.3 billion euros, while gross merchandise value increased 13.6 percent to 13.9 billion euros. Quick Commerce GMV grew 39 percent, supporting the company's decision to raise its full-year 2026 outlook.
Delivery Hero stock remains primarily tied to the Uber offer, regulatory progress and the timing of any cash payment. The operating update provides additional support for the business case, but the final outcome still depends on shareholder acceptance and required approvals.
Germany's DAX market remains the relevant broader market reference for Delivery Hero's Frankfurt listing.
