- CVS Health plans to separate its healthcare solutions and retail pharmacy operations into two publicly traded companies.
- The separation is expected in the first half of 2028 and remains subject to customary conditions.
- Third-quarter results and higher full-year guidance provide the financial backdrop for the restructuring.
CVS Health announced on Wednesday, November 4, that it intends to separate its healthcare solutions and retail pharmacy operations into two independent, publicly traded companies. The plan adds a major strategic development to the company's third-quarter results and higher full-year 2026 guidance.
According to the SEC filing, the healthcare solutions company will comprise Aetna, CVS Caremark, CVS Specialty, Oak Street Health and Signify Health. The retail business, which will be named CVS Pharmacy, will include approximately 9,000 pharmacies, mail pharmacy, MinuteClinic and Health100.
Separation sets a new strategic course
The separation is expected to be completed in the first half of 2028. It is intended to be tax-free to CVS Health and its shareholders, but remains subject to customary conditions, including board approval, an effective registration statement and tax-related confirmation.
Upon completion, CVS Health shareholders are expected to own shares in both companies. David Joyner is slated to lead the healthcare solutions company, while Prem Shah is slated to become chief executive of CVS Pharmacy. The planned structure is intended to give each business a more focused strategy and capital structure.
The filing also said CVS Health announced third-quarter 2026 results and raised its full-year guidance on the same day. That earnings update gives investors a second operating theme to weigh alongside the proposed separation, while the transaction itself remains a forward-looking plan.
