- Investors will focus on execution, financing and the integration of Arcosa after the lower 2026 outlook.
CRH is reshaping the financing structure of Arcosa after completing the acquisition on October 23. On Wednesday, November 4, CRH America Finance launched cash tender offers and exchange offers for Arcosa notes, according to Business Wire.
Arcosa Debt Moves Into Focus
The offers cover Arcosa's 4.375 percent senior notes due 2029 and 6.875 percent senior notes due 2032. Holders can choose cash consideration or, where eligible, new notes issued by CRH America Finance and guaranteed by CRH.
CRH is also seeking consents for changes to the existing Arcosa indentures. The proposed amendments would remove certain covenants, restrictive provisions, events of default and guarantee provisions if the required thresholds are met. Accepted notes would be canceled or exchanged and would no longer remain outstanding Arcosa obligations.
Deadlines Set For Noteholders
The early tender and withdrawal deadline is 5:00 p.m. New York time on November 18, 2026. The offers are scheduled to expire on December 4, while early settlement for accepted cash tenders is expected on November 20. These dates give investors a near-term timetable for assessing CRH's post-acquisition financing choices.
Lower Outlook Raises Execution Stakes
CRH's third-quarter update lowered its 2026 net income and adjusted EBITDA outlook after cost inflation, subdued residential construction and the earlier-than-expected Arcosa completion weighed on expectations. The group continues to point to infrastructure demand, while Arcosa and its operating initiatives form part of the longer-term expansion case.
CRH stock traded at 85.08 euros on Lang & Schwarz at 11:17 CET on Saturday, November 7, 2026. Investors can follow the real-time quote of CRH stock as financing and integration milestones develop.
