- Applied Materials plans to expand its long-term strategic partnership with Besi across hybrid bonding and next-generation interconnect architectures.
- The share delivery remains subject to the expiration or termination of the applicable US antitrust waiting period.
- Applied Materials said it does not intend to seek a Besi board seat or increase its investment beyond the planned level.
Applied Materials said on October 26 that it had entered an agreement to increase its investment in BE Semiconductor Industries, known as Besi, to approximately 20 percent of the outstanding shares. The announcement, published by Applied Materials, links the transaction to a broader cooperation in advanced packaging for artificial-intelligence systems.
The purchase would add to Applied Materials' existing investment, which began in April 2025. The two companies have worked together since 2020, and Besi recently joined Applied Materials' EPIC Center as an Innovation Partner. Their expanded program covers hybrid bonding, next-generation 3D integrated-circuit scaling, logic and memory integration, thermo-compression bonding, and die-on-wafer, die-on-die and die-on-panel platforms.
Strategic stake tied to AI packaging
Applied Materials said the investment reflects the growing importance of hybrid bonding and other interconnect architectures for energy-efficient AI computing. The US equipment maker also said the collaboration should support products and technologies needed to scale AI systems. For Besi, the announcement strengthens the industrial relationship with a large semiconductor-equipment partner and gives its advanced-packaging technology a more prominent role in that joint roadmap.
The transaction is not yet complete. Applied Materials entered into an accelerated share purchase agreement, but delivery of the Besi shares depends on the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act. Applied Materials said it currently has no intention of increasing its investment beyond approximately 20 percent and does not intend to seek representation on Besi's board.
