- AstraZeneca is reportedly pursuing Rhythm through its Alexion rare-disease business.
- The non-binding proposal includes milestone-linked payments, leaving the final consideration uncertain.
- Rhythm's portfolio would add rare metabolic and neuroendocrine treatments to AstraZeneca's specialty-medicines strategy.
AstraZeneca is reportedly pursuing a non-binding offer of about 10 billion US dollars for Rhythm Pharmaceuticals, according to Reuters. The report was published on Wednesday, November 4, citing three people familiar with the matter.
The proposal reportedly offered 124 US dollars per Rhythm share last month. Reuters said the non-binding structure could reach 134 US dollars per share when payments tied to milestones are included. The report did not establish a signed transaction, a final price or the terms governing those payments.
Alexion Provides Strategic Link
The acquisition would be pursued through Alexion, AstraZeneca's rare-disease business, according to two of Reuters' sources. AstraZeneca acquired Alexion for 39 billion US dollars in 2021 as it sought to expand beyond oncology and its broader biopharmaceutical operations.
Rhythm develops therapies for rare neuroendocrine and metabolic disorders, including severe obesity. Its Imcivree treatment received an expanded US approval in March for a rare form of obesity caused by brain damage, giving Rhythm an established commercial position in a specialized market rather than the broader weight-loss segment dominated by Novo Nordisk and Eli Lilly.
Reuters said AstraZeneca declined to comment and that Rhythm representatives did not respond to a request for comment. The absence of a confirmed agreement leaves the proposal exposed to negotiations, possible competing bids and regulatory review.
Investors Weigh Pipeline Expansion
Rhythm shares closed 28 percent higher at 110.68 US dollars on November 4 after the report, giving the company a market value of about 7.64 billion US dollars. That reaction highlights the premium investors attached to the reported approach, but it does not determine the final consideration or whether a transaction will proceed.
