What the transaction includes
The sale covers Tesco's stores and offices in both countries, as well as distribution centres in Kralupy, Presov and Beckov. Tesco said the transaction carries an enterprise value of 1.7 billion euros on a cash-and-debt-free basis and is expected to generate 1.2 billion euros in net cash proceeds before tax and other transaction costs.
The agreement does not include Tesco's Hungarian business. Tesco said its Czech and Slovak operations will remain part of the group until closing, while it continues to review options for Hungary.
Approval remains the next milestone
Completion is subject to antitrust and other applicable regulatory approvals and is expected in the second half of 2027. The timing leaves a lengthy execution period before Ahold Delhaize can take operational control of the businesses.
Tesco expects the majority of its net proceeds to be returned to shareholders through an incremental share buyback after completion. It also expects the transaction to be broadly neutral to earnings per share and its net debt-to-EBITDA ratio after the buyback.
