- Aegon completed the share conversion and moved to a single class of common stock.
- The company expects its US redomiciliation to take effect on or around January 1, 2028.
- Management is preparing operational, regulatory and reporting changes before the planned move.
Aegon has completed a key step in its planned move to the United States. In a company announcement published on October 15, 2026, Aegon said it had completed the exchange of all outstanding Common Shares B held by Vereniging Aegon Americas for common shares with equal voting rights on a 40-to-1 basis.
The transaction ended the voting rights agreement and call option held by Vereniging Aegon Americas and simplified Aegon's capital structure to a single class of common stock. Interim bye-laws aligned with US governance practices also took effect when the conversion was completed.
US transition sets next milestones
Aegon said the restructuring supports its ambition to become a US leader in life insurance and retirement services while maintaining its global asset manager and international subsidiaries. Chairman David Herzog described shareholder approval as the beginning of a new era, while Chief Executive Lard Friese said the company aims to build a larger and more profitable life insurance and retirement business as Transamerica.
The planned redomiciliation is expected to become effective on or around January 1, 2028. At that point, the holding company is scheduled to be renamed Transamerica Inc. and become a Delaware corporation. Aegon is also building its head office in New York City and is preparing the operational, regulatory and reporting changes required for the transition.
What the stock shows now
Aegon stock traded at 7.74 euros on Lang & Schwarz at 10:10 CET on Thursday, November 5, 2026. The quote gives investors a current market reference as the company works through a multi-year legal and governance transition, but it does not by itself measure the success of the planned US move.
Investors will therefore focus on execution before the redomiciliation: the implementation of the new governance framework, the preparation of US reporting and the company's ability to expand its insurance and retirement businesses. The legal changes are already under way, while the final corporate move remains scheduled for 2028.
