JOST sets price range for planned private placement at EUR25.00 to EUR31.00 per share

Neu-Isenburg, 12 July 2017. JOST Werke AG ("JOST"), a leading global producer and supplier of safety-critical systems to the truck and trailer industry, has set the price range for its planned private placement at EUR25.00 to EUR31.00 per share (the "Private Placement"). JOST's shares will only be placed with institutional investors in certain jurisdictions in Europe, North America and elsewhere. The Private Placement will commence on 12 July 2017 and is expected to end on 19 July 2017. Trading in JOST's shares on the regulated market (Prime Standard) of the Frankfurt Stock Exchange (Frankfurter Wertpapierbörse) is expected to commence on 20 July 2017 (the "Listing"). There will be no public offering of JOST's shares in connection with the Listing.
The Private Placement will consist of up to 5,200,000 newly issued ordinary bearer shares from a capital increase and of up to 2,915,000 existing ordinary bearer shares from the holdings of its existing shareholder. In addition, up to 1,141,000 ordinary bearer shares from the holdings of its existing shareholder may be placed with investors in connection with a potential over-allotment. The final placement price and the final number of JOST's shares placed in the Private Placement will be determined on the basis of a bookbuilding process.

Access to the capital markets will further support our growth trajectory and facilitate our investments in strategic areas such as autonomous docking systems."
JOST is targeting gross proceeds of at least EUR130 million from the sale of the new shares and a free float of around 50% (assuming no exercise of the Greenshoe Option) of JOST's shares upon commencement of trading on the Frankfurt Stock Exchange. JOST intends to use the net proceeds from the Private Placement to repay existing financial indebtedness as well as for general corporate purposes. The existing shareholder of JOST intends to partially divest its stake. Based on the price range the market capitalization of JOST upon commencement of trading would amount to approximately EUR381 million to EUR441 million.
