We hereby announce that we have received in connection with the acquisition of shares in EnBW Energie Baden-Württemberg AG by the State of Baden-Württemberg the following notification from E.D.F. INTERNATIONAL S.A., Paris, France, Electricité de France S.A., Paris, France, and the Republic of France, Ministère de l'Economie, des Finances et de l'Industrie, Agence des participations de l'Etat, Paris, France:

We hereby inform you pursuant to § 21 (1) and § 22 (1) Sentence 1 No. 1 of the German Securities Trading Act (WpHG) that the respective share of voting rights held by E.D.F. INTERNATIONAL S.A., Paris, France, Electricité de France S.A., Paris, France, and the Republic of France, Ministère de l'Economie, des Finances et de l'Industrie, Agence des participations de l'Etat, Paris, France, in MVV Energie AG, Mannheim, Germany, fell short of the 15 %, 10 %, 5 % and 3 % thresholds on 17 February 2011 and amounted to 0 % respectively as of this date.

Furthermore, we hereby announce that we have received the following notification from the State of Baden-Württemberg, Körperschaft öffentlichen Rechts, represented by Finanzministerium Baden-Württemberg, Stuttgart, Germany:

We hereby inform you pursuant to § 21 (1) of the German Securities Trading Act (WpHG) that the share of voting rights held by the State of Baden-Württemberg in MVV Energie AG, based in Luisenring 49, 68159 Mannheim, exceeded the 3 %, 5 %, 10 % and 15 % thresholds on 17 February 2011. As a percentage of all voting rights in MVV Energie AG, the share of voting rights held by the State of Baden-Württemberg amounted to 15.05 % as of this date (voting rights for 9,921,106 ordinary shares in MVV Energie AG). MVV Energie AG has only issued ordinary shares.

15.05 % of the voting rights (voting rights for 9,921,106 ordinary shares in MVV Energie AG) are attributable to the State of Baden-Württemberg pursuant to § 22 (1) Sentence 1 No. 1 of the German Securities Trading Act (WpHG). The voting rights attributed to the State of Baden-Württemberg are held directly by EnBW Energie Baden-Württemberg AG, a company controlled by the State of Baden- Württemberg. The shareholding held by the State of Baden-Württemberg in EnBW Energie Baden-Württemberg AG is held via NECKARPRI GmbH, another company controlled by the State of Baden-Württemberg.

Furthermore, we hereby announce that we have received the following notification from NECKARPRI GmbH, Stuttgart, Germany:

We hereby inform you pursuant to § 21 (1) of the German Securities Trading Act (WpHG) that the share of voting rights held by NECKARPRI GmbH in MVV Energie AG, based in Luisenring 49, 68159 Mannheim, exceeded the 3 %, 5 %, 10 % and 15 % thresholds on 17 February 2011. As a percentage of all voting rights in MVV Energie AG, the share of voting rights held by NECKARPRI GmbH amounted to 15.05 % as of this date (voting rights for 9,921,106 ordinary shares in MVV Energie AG). MVV Energie AG has only issued ordinary shares.
